Contracts and agreements

A quality document contains in detail the event or relationship the parties desire to consummate. The document must define the playing field which the players are to play in addition to look into the future to predict and react to positive and negative events.

Clearly stating the expectations of all parties establishes the plan and goals of the arrangement.

The document must possess the ability to be understood by a third party.  If and when the parties engage in a legal battle this third party must be able to interpret the agreement as it was intended. A quality agreement is insurance that future events will occur according to plan.

A Shareholder Agreement, is an arrangement among shareholders/partners that describes how a company should be operated and outlines shareholders’ rights and obligations. The agreement also includes information on the management of the company and privileges and protection of shareholders. 

Outline of a Shareholders’ Agreement:

  • Identifying the parties and their relation to the corporation
  • Facts of the corporation and Shareholders
  • Duties and compensation
  • A list of recitals (rationale and goals for the agreement)
  • Details of optional versus mandatory buying-back of shares in the event that a shareholder has poor performance or wishes to sell.
  • A right of first refusal clause, detailing how the company has the right to purchase a selling shareholder’s securities prior to them selling to an outside party
  • Notation of a fair price for shares, either re-calculated annually or via a formula
  • A potential description of an insurance policy

The associate agreements acts as an insurance policy for many events that have the potential to damage the practice’s good will, and/or the owner’s financial stability.

The Independent Contractor agreement designs the relationship between the owner of the practice and an Independent Contractor. The Independent Contractor is a separate entity from the owner and is a renter of the facility.

Our experience has allowed us to develop a comprehensive document which protects the doctor/owner from many unforeseen situations as well as allows the relationship to flourish by the guidelines set forth. Many events may have the potential to damage the practice’s good will or the owner financially.

The document is written for a health care facility for one or more Independent Contractors. Document issues include premises entitlement, staff, equipment and supplies, signage, term, rent, taxes, insurance, assignment and much more. The verbiage is forthright and readable for the layperson.

If all things went in a positive, as planed fashion, the need for this document would be unnecessary. The parties would never have to read again once signed. But, if future events do not go as planned, protection of the owner is imperative. At this time the value of the contract is worth its weight in gold.
